These Terms of Service ("Terms") govern your access to and use of the services provided by Activegence ("we," "our," or "us"), including our website, consulting services, and software development offerings. By engaging with our services, you agree to be bound by these Terms.
Service Agreement. All project engagements are governed by a mutually agreed-upon Statement of Work (SOW) or service agreement. These Terms apply in addition to any specific project terms outlined in the SOW. In the event of a conflict between these Terms and the SOW, the SOW shall take precedence for that specific engagement.
Acceptable Use. You agree to use our services only for lawful purposes and in accordance with these Terms. You shall not use our services in any manner that could damage, disable, overburden, or impair our infrastructure, or that interferes with any other party's use of our services. You are responsible for ensuring that your use complies with all applicable laws and regulations.
Intellectual Property. Unless otherwise specified in a project agreement, all custom software, designs, and deliverables created specifically for you become your property upon full payment. Activegence retains ownership of all pre-existing intellectual property, frameworks, tools, and methodologies used in the delivery of services. Each party retains all rights to their respective pre-existing intellectual property.
Confidentiality. Both parties agree to maintain the confidentiality of proprietary information shared during the course of engagement. This includes trade secrets, business plans, technical data, and customer information. Neither party shall disclose confidential information to third parties without prior written consent, except as required by law.
Limitation of Liability. To the maximum extent permitted by applicable law, Activegence shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability for any claim arising from or related to our services shall not exceed the amount paid by you for the specific service giving rise to the claim during the twelve (12) months preceding the claim.
